Patents Granted And Pending--Sole Inventor
PATENTS GRANTED AND PENDING--SOLE INVENTOR
This assignment was made on [Date of Assignment], by [Name and Address of Inventor], hereinafter referred to as inventor, to [Name and Address of Corporation of assignee], a corporation organized under the laws of the State of [State of assignee], hereinafter referred to as assignee.
RECITALS
Inventor obtained a patent number [Patent number], which was issued on [Date patent issued] for certain new improvements relating to [Subject of Invention]. Inventor has also invented certain new improvements concerning [Subject of Invention] and has applied for a patent on these inventions, Application Number [Application Number]. Inventor is the sole and exclusive owner of the above patent and applications and of all the rights in them, with the exception of [List Any Exceptions Here]. Assignee desires to acquire the entire right, title, and interest in the patent, the applications, and in the inventions. Therefore, in consideration of the foregoing recitals and the promises and obligations that follow, the parties agree as follows:
SECTION ONE: ASSIGNMENT
For consideration in the amount of $ [Amount paid for assignment] plus other valuable consideration, inventor assigns to assignee all [his or her] right, title, and interest in the inventions and letters patent, including reissues, and applications described above.
SECTION TWO: AUTHORIZATION AND REQUEST
Inventor hereby authorizes and requests the Commissioner of Patents and Trademarks to issue any letters patent on the inventions or resulting from the applications to assignee.
SECTION THREE: COOPERATION
Inventor will at any time on request execute and deliver all papers necessary or desirable to perfect the title to the inventions or any letters patent that may be granted therefor. Further, inventor will on request communicate to assignee any facts relating to the inventions and letters patent and will also testify to the same in any litigation when requested so to do.
SECTION FOUR: INVENTORS WARRANTY
Inventor warrants that [he or she] possesses the full right to convey any interest that is assigned by this agreement, and that [he or she] has not executed, and will not execute, any agreement which conflicts with this assignment.
